CDC Corp. Plans SEC Filing for IPO of CRM Software Unit
August 27, 2007
CDC Corporation has announced that it plans to file with the U.S. Securities and Exchange Commission a registration statement for an initial public offering of up to $225 million aggregate principal in Class A Common Shares for CDC Software, its business unit that develops enterprise software.
The purpose of the offering, company officials say, is to "allow CDC Software to more clearly differentiate its line of business from CDC Corporation and provide a more targeted investment vehicle for investors seeking to invest only in enterprise software portion of CDC Corporation's diverse businesses."
The offering is currently expected to commence during the fourth quarter of 2007, subject to the Securities and Exchange Commission declaring the registration statement effective.
Earlier this month CDC Corporation, the owner of CDC Software and focused on global enterprise software and New Media, which includes mobile applications, online games and a portal for the China market, announced it had signed a definitive agreement to sell Ion Global, its interactive marketing services group, to Aegis Group plc., the London-listed media communications and market research group, for an undisclosed sum.
Ion Global will become part of Isobar, Aegis's global digital agency network.
CDC Software is the enterprise software and services business unit of CDC Corporation. Corporation officials say this divestiture of the horizontally oriented interactive marketing services group will "free up working capital and management bandwidth to further enable CDC Software's vertical focus in terms of internal development investments and targeted acquisitions."
CDC Software, a wholly owned subsidiary of CDC Corporation and a provider of CRM, ERP and other enterprise software applications and business services, announced in July that during the second quarter of 2007, more food manufacturers selected its recently launched CDC Factory product to integrate factory scheduling, real-time performance management and analytics.
