Status: Agreed - US COZEN O'CONNOR BUYS LAW FIRM SHER & BLACKWELL US law firm Cozen O'Connor said it will buy Washington-based Sher & Blackwell, a law firm focused on international transportation and government affairs, to expand its business in the region.

Status: Agreed - URALKALI HOLDER EYES CONTROL IN RUSSIAN SILVINIT, BELARUSIAN BELARUSKALI Russian potash fertilizer producer Uralkali (LON:URKA) is negotiating the acquisition of majority interests in local rival Silvinit (PINK:SLVNF) and Belarusian sector company Belaruskali, in a drive to create the top global potash fertilizer company.

Status: Talks - COMMTOUCH SOFTWARE TO ACQUIRE AUTHENTIUM'S ANTIVIRUS ARM Israeli web security provider Commtouch Software (NASDAQ:CTCH) has agreed to buy the antivirus division of US sector company Authentium in a move to add a new product line to its portfolio.

Status: Agreed - STRONGMAIL TAKES OVER MARKETING AGENCIES CONVERSA MARKETING, MAGNETIK StrongMail, a California-based provider of online marketing solutions for email and social media, said it had bought interactive marketing agencies Conversa Marketing and Magnetik, in a drive to boost offering and set foot in New York.

Status: Closed - DANONE TO EXIT CHINA HUIYUAN JUICE FOR EUR200M French food group Danone (EPA:BN) announced a EUR200m (USD260.4m) deal to sell its 22.98% in fruit juice maker China Huiyuan Juice Group (HKG:1886) to Hong-Kong private equity firm SAIF Partners.

Status: Agreed - US COMFORT SYSTEMS BUYS REGIONAL CONTRACTOR COLONIALWEBB US Comfort Systems (NYSE: FIX), a provider of heating, ventilation and air conditioning (HVAC) services to commercial, industrial and institutional clients, said it had bought Virginia-based mechanical contractor ColonialWebb.

Status: Closed - CHAIRMAN CUTS STAKE IN NORWEGIAN DNO INTL TO 3% Norwegian oil and gas company DNO International (OSL:DNO) said its chairman Berge Gerdt Larsen has lowered his stake in the company to 3%.

Status: Closed - VESTAR CAPITAL TO BUY HEALTHGRADES FOR USD294M US buyout firm Vestar Capital Partners has agreed to buy Health Grades (NASDAQ:HGRD), which rates hospitals and nursing homes, for USD8.20 per share, or a total USD294m (EUR226m).

Status: Agreed - COMPCARE BUYS OUT COMPCARE PUERTO RICO US healthcare services provider Comprehensive Care Corp (OTCBB:CHCR) said that its subsidiary Comprehensive Behavioral Care (CBC) has acquired the residual 49% of CompCare de Puerto Rico for an undisclosed sum.

Status: Closed - BP IN TALKS WITH RELIANCE, ESSAR TO SELL AFRICAN RETAIL BUSINESS British oil and gas group BP (LON:BP) is negotiating with India's refiner Reliance Industries (BOM:500325) and industrial conglomerate Essar Group to divest from its African retail operations valued at up to USD500m (EUR384m).

Status: Talks - COVIDIEN COMPLETES SOMANETICS CORP BUYOUT Irish healthcare products provider Covidien (NYSE:COV) has wrapped up the takeover of US cerebral and somatic oximetry specialist Somanetics Corp (NASDAQ:SMTS) for USD250m (EUR192m).

Status: Closed - ALLIED IRISH SAYS IN TALKS WITH FOUR BIDDERS FOR BZ WBK STAKE Dublin-based Allied Irish Banks (ISE:ALBK) has held talks with four potential buyers of its 70% interest in Polish lender Bank Zachodni WBK (WAR:BZW).

Status: Talks - PRIVATE EQUITY FIRMS SAID TO BE EYEING ITALIAN SNAI Private equity firms Investindustrial and Clessidra are considering to make a joint bid for Italian gaming and betting company SNAI (BIT:SNA).

Status: Speculation - NASDAQ OMX INKS DEAL TO BUY AUSTRALIAN SMARTS US-based securities exchange group NASDAQ OMX (NASDAQ:NDAQ) said it has struck a deal to acquire Australia-based SMARTS, a provider of market surveillance solutions to exchanges, regulators and brokers, without disclosing any financial details about the deal.

Status: Agreed - CREDIT MUTUEL-CIC TO TAKE HALF OF CASINO'S BANKING UNIT French savings bank Credit Mutuel-CIC has signed an agreement to buy 50% of local Banque du Groupe Casino, the banking unit of local retailer Casino (EPA:CO), for an undisclosed sum.

Status: Agreed - QATAR-BASED BANK QIIB TO INCREASE STAKE IN UK ISLAMIC LENDER IBB Qatar International Islamic Bank (DOH:QIIK), or QIIB, holding 11.2% in Islamic Bank of Britain (LON:IBB), said it planned to boost its stake in the UK bank to a significant level.

Status: Agreed - BRIT INSURANCE GETS GBP10.75 P/S REVISED TAKEOVER PROPOSAL FROM APOLLO UK insurer Brit Insurance (LON:BRE) said that US Apollo Management has made a higher GBP10.75 (USD16.8/EUR12.9) per share cash approach to buy the company, subject to pre-conditions, including satisfactory due diligence.

Status: Bidding - UK EGDON WRAPS UP BUY OF ENCORE OIL'S UK ASSETS UK oil and gas company Egdon Resources (LON:EDR) said it had closed the purchase of the UK assets of rival EnCore Oil (LON:EO), in an all-stock deal.

Status: Closed; Agreed - DST SET TO DISPOSE OF NIGMA.RU STAKE Russian investment fund Digital Sky Technologies (DST) is on track to exit the share capital of local search engine Nigma.ru.

Status: Talks - UK RSA INSURANCE TO BUY IRISH 123 MONEY FOR EUR65M UK general insurance distributor RSA Insurance Group (LON:RSA) said it was buying Irish 123 Money, a direct distributor of personal lines insurance, for EUR65m (USD85m) in cash and an earn-out.

Status: Agreed - UK CSR BUYS AUDIO CODING FIRM APT LICENSING UK CSR plc (LON:CSR), a provider of audio, connectivity and location platforms, said it had purchased audio compression solutions specialist APT Licensing, to boost its audio capabilities.

Status: Closed - PHILIPS ANNOUNCES BUY OF CHINESE ULTRASOUND EQUIPMENT FIRM APEX Dutch-based Royal Philips Electronics (AMS:PHIA) said it had taken over Chinese ultrasound equipment maker Shanghai Apex Electronics Technology Co, to boost its presence in the fast-growing Chinese healthcare infrastructure segment.

Status: Closed - GERMAN SCHAEFFLER, CONTINENTAL MAY START MERGER BY END-2011 German bearings manufacturer Schaeffler and car parts maker Continental (ETR:CON) could launch a tie-up process by the end of 2011.

Status: Talks - SPANISH BANKS CAM, CAJASTUR, CAJA EXTREMADURA, CANTABRIA SIGN MERGER DEAL Spanish savings banks Caja Mediterraneo (CAM), Cajastur, Caja Extremadura and Caja Cantabria signed their merger agreement to create Spain's third largest savings bank.

Status: Agreed - SLOVENIAN GORENJE BUYS SWEDISH RIVAL ASKO Slovenian household appliances maker Gorenje (LJE:GRVG) said it had bought Swedish sector player Asko Appliances Group, in line with its growth strategy.

Status: Closed - ADOBE SYSTEMS ENTERS INTO DEAL TO PURCHASE SWISS DAY SOFTWARE US software company Adobe Systems (NASDAQ:ADBE) has agreed to launch a tender offer of CHF139 (USD131.2/EUR100.9) per share in cash for Swiss Day Software (SWF:DAYN).

Status: Agreed - US HESS AGREES TO TAKE OVER AMERICAN OIL & GAS US oil and gas group Hess Corporation (NYSE:HES) has entered into agreement to take over sector firm American Oil & Gas Inc (AMEX:AEZ) in an all-stock deal.

Status: Agreed - US RALCORP WRAPS UP BUY OF AMERICAN ITALIAN PASTA US supplier of store brand foods Ralcorp Holdings Inc (NYSE:RAH) said it had wrapped up the takeover of American Italian Pasta Company (NASDAQ:AIPC) for USD1.2bn (EUR923m), net of acquired cash.

Status: Closed - US PRESTOLITE PERFORMANCE ANNOUNCES QUICKTIME TAKEOVER US auto parts supplier Prestolite Performance said it had taken over QuickTime Inc, a producer of lightweight bellhousings and racing accessories, without providing the purchase price.

Status: Closed - CD&R, GSCP AGREE ON BUY OF MEDICAL PRODUCT PROVIDER HGI Private equity firms Clayton, Dubilier & Rice LLC (CD&R) and GS Capital Partners (GSCP) said they had agreed on the takeover of US HGI Holdings Inc, a provider of disposable medical products, from private investor The Jordan Company and members of the Harrington family.

Status: Agreed - US CLIFFS GETS 85% IN CANADIAN SPIDER, GOES ON WITH TAKEOVER US miner Cliffs Natural Resources Inc (NYSE:CLF) has raised its shareholding in Canadian mineral exploration firm Spider Resources Inc (CVE:SPQ) to 85% with the takeover of additional 22.2m shares in the company.

Status: Bidding - IRISH COVIDIEN CLOSES OFFER FOR SOMANETICS, GETS 80.2% Irish-based healthcare products supplier Covidien (NYSE:COV) said it had closed its tender offer for US Somanetics Corporation (NASDAQ:SMTS) and had secured 80.2% in the cerebral and somatic oximetry specialist.

Status: Bidding - MORDASHOV'S FIRM BIDS TO BUY OUT POWER MACHINES Highstat Ltd, a firm of Russian mogul Alexei Mordashov, has offered to acquire the outstanding 2,607,597,428 shares in Russian power generating solutions maker Power Machines (RTC:SILM) for an undisclosed sum.

Status: Bidding - LLOYDS SHELVES PLANS TO SELL MAJORITY STAKE IN ST. JAMES'S PLACE British wealth manager St. James's Place (LON:STJ) said that its major shareholder Lloyds Banking Group (LON:LLOY) has dropped plans to sell its majority stake in the firm.

Status: Terminated - HERA SHEDS 20% OF ENVIRONMENTAL UNIT FOR EUR106M Italian utility Hera (BIT:HER) has agreed to sell 20% of its environmental unit, Herambiente, to Ambiente Arancione, owned by EISER Global Infrastructure Fund, for EUR105.6m (USD137.3m).

Status: Talks - BAWAG PUTS MKB BANK STAKE UP FOR SALE Austrian lender BAWAG PSK, which is controlled by US private equity firm Cerberus Capital, said it is planning to offload its 10% interest in Hungarian MKB Bank in a bid to focus on its domestic business.

Status: Auction - EU CLEARS UNITED AIRLINES-CONTINENTAL MERGER WITH NO CONDITIONS US carriers United Airlines (NASDAQ:UAUA) and Continental Airlines (NYSE:CAL) won an unconditional approval from the European Commission of their planned merger.

Status: Agreed - TELEFONICA ANNOUNCES INITIAL DEAL TO BUY BRAZILIAN VIVO Spanish telecom giant Telefonica (MCE:TEF) said it had struck a preliminary deal to buy Portugal Telecom's (ELI:PTCA) 50% in their joint venture Brasilcel, controlling some 60% of Brazilian mobile operator Vivo (SAO:VIVO3).

Status: Agreed - NORTHEAST BANCORP SHAREHOLDERS OKAY FHB INCORPORATION US bank holding company Northeast Bancorp (NASDAQ:NBN) said its shareholders gave the go-ahead to the incorporation of Delaware-based FHB Formation into Northeast.

Status: Agreed - INDIAN DLF NEGOTIATES CUTTING STAKE IN JV WITH PRUDENTIAL Indian property firm DLF (BOM:532868) is negotiating to sell part of its 74% holding in its joint venture with British insurer Prudential (LON:PRU).

Status: Talks - SWISS ABB GETS 75% IN INDIAN UNIT Swiss engineering group ABB (VTX:ABBN) has increased its holding in its Indian unit to 75% from the previous 52% in an effort to strengthen its position in the rapidly-growing Indian market.

Status: Closed - PHARMSTANDARD'S CEO SAYS TO TAKE OVER VINDEXPHARM BEFORE YEAR-END Russian drug maker and distributor Pharmstandard (LON:PHST) is set to purchase local pharmaceutical company Vindexpharm before the end of this year, Pharmstandard's chief executive said.

Status: Bidding - THORATEC ABANDONS PLANS TO SELL ITC UNIT TO DANAHER US mechanical circulatory support products maker Thoratec Corp (NASDAQ:THOR) said it has scrapped plans to sell its International Technidyne Corp (ITC) unit to medical equipment maker Danaher Corp (NYSE:DHR) as the two parties have failed to agree on certain aspects of the deal.

Status: Speculation - MARFIN POPULAR BANK DENIES KNOWLEDGE OF ING OFFER Cyprus-based bank Marfin Popular (CSE:CPB) has not been informed about a proposal by Dutch financial group ING (NYSE:ISF) to buy the bank, an unnamed spokesman for Marfin Popular said.

Status: Denied - UNIONS AGAINST MERGER OF SPANISH SAVINGS BANKS CAI, CAJA CIRCULO, BADAJOZ The trade unions representing the employees at Spanish savings banks Caja Inmaculada (CAI), Caja Circulo de Burgos and Caja Badajoz rejected the proposed merger of the three banks, arguing that the merger model will put an end to the savings banks' social and cultural activities.

Status: Talks - BES TO ACQUIRE 25.1% IN MOZA BANCO Portugal-based lender Banco Espirito Santo (ELI:BES) said in a regulatory filing that its unit, BES Africa, has inked a memorandum of understanding (MoU) to buy a 25.1% stake in Mozambique's Moza Banco.

Status: Exclusivity - UK INTEC SAYS IN EARLY TALKS WITH POTENTIAL BUYER The board of UK billing company Intec (LON:ITL) said it was in early negotiations with an unnamed party interested in taking over the company.

Status: Talks - SKY DEUTSCHLAND TO REPURCHASE PREMIUM MEDIA SOLUTIONS German media group Sky Deutschland (ETR:SKYD) is to buy back advertising firm Premium Media Solutions, which was previously owned by the group.

Status: Speculation - GMR INFRASTRUCTURE PUTS INTERGEN STAKE UP FOR SALE Indian infrastructure and engineering group GMR Infrastructure (BOM:532754) is seeking potential buyers for its 50% holding in US-based power generation company InterGen.

Status: Auction - LION CAPITAL PLACES BID FOR FRENCH PICARD UK investor Lion Capital submitted a pre-emptive offer this weekend to acquire French food company Picard Surgeles from BC Partners, valuing the company at EUR1.5bn (USD1.9bn).

Status: Bidding - RAIFFEISEN CEO SAYS BANK MULLS ACQUISITIONS IN POLAND Austrian lender Raiffeisen International (WBAG:RIBH) is considering potential acquisitions in Poland.

Status: Bidding - TELEDYNE OWNS 93.36% OF UK INTELEK, OFFER WHOLLY UNCONDITIONAL US electronic components and subsystems provider Teledyne (NYSE:TDY) said it owned 93.36% of Intelek (LON:ITK) by 23 July 2010, and its recommended cash offer for the UK electronic systems maker was now wholly unconditional.

Status: Talks - FRAPORT TO BUY INTO CHINESE AIRPORT German airport operator Fraport (ETR:FRA) is negotiating to buy a stake in a Chinese sector player.

Status: Talks - VODAFONE LIKELY TO SHED STAKE IN BHARTI AIRTEL British mobile operator Vodafone (LON:VOD) could offload its 4.39% interest in Indian sector player Bharti Airtel (BOM:532454) valued at INR52bn (USD1.1bn/EUR859m) at market prices.

Status: Auction - ADVENT INTL, BAIN CAPITAL IN EXCLUSIVE TALKS TO BUY RBS' WORLDPAY UK's Royal Bank of Scotland (LON:RBS) has entered into exclusive talks with US private equity firms Advent International and Bain Capital over the divestment of its payment-processing unit, known as WorldPay.

Status: Exclusivity - FRANCE TELECOM, VIVENDI IN TALKS TO COMBINE CINEMA CHANNELS Orange, the mobile unit of France Telecom (EPA:FTE), and Canal Plus, part of entertainment group Vivendi (EPA:VIV), are discussing a potential merger of their cinema pay-TV channels.
