Call Genie Acquires BTSLogic Europe

Toronto-based Call Genie, Inc., a provider of localized, voice-enabled search solutions to wireless carriers, directory assistance providers and Yellow Pages publishers, today announced that it has signed a definitive agreement to acquire 100 percent of the outstanding shares of BTSLogic Europe ApS, a provider of directory assistance and operator workstation solutions.
Offered as a turnkey or ASP solution, Call Genie’s Enhanced Voice Directory (EVD) platform enables companies to offer a comprehensive, voice-enabled business category search service to consumers and business customers.
The BTSLogic acquisition will allow Call Genie to offer its customers a full business name and business category search solution for consumer paid and free directory assistance offerings. The combined product set will include business category search, speech automation, ad placement, business name search and operator workstation and is expected to extend Call Genie’s reach within its key target markets.

BTSLogic is a privately held company based in Aarhus, Denmark. The acquisition agreement provides that Call Genie will acquire all of the shares of BTSLogic for $1.5 million (USD). BTSLogic reported revenues of approximately $1.9 million in 2006. Other than the initial capital outlay, this transaction is not expected to negatively impact Call Genie’s cash position. The transaction is scheduled to close on November 9, 2007. Completion of this acquisition transaction is subject to receipt of necessary regulatory approval.
